Terms of Service

1. Acceptance of Terms
By accessing or using Darkroom Collective (the "Service," "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
Darkroom Collective is operated as a sole proprietorship. "We," "us," and "our" refer to the owner and operator of Darkroom Collective. "You" refers to the individual accessing or using the Service.
2. Eligibility
You must be at least 13 years of age to use the Service. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you must have the consent of a parent or guardian. By using the Service, you represent and warrant that you meet these eligibility requirements.
3. Account Registration
- You must provide accurate, current, and complete information during registration.
- You must verify your email address to activate your account.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us immediately of any unauthorized use of your account at legal@darkroomcollective.app.
- We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
4. User Content
4.1 Your Content
You retain all intellectual property rights in the photographs and other content you upload to the Service ("User Content"). By uploading User Content, you grant Darkroom Collective a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and reproduce your User Content solely for the purpose of operating and improving the Service.
You represent and warrant that: (a) you own or have the necessary rights to your User Content; (b) your User Content does not infringe any third party's intellectual property, privacy, or other rights; and (c) you have the consent of any identifiable individuals depicted in your User Content.
4.2 Prohibited Content
You may not upload or share content that:
- Is illegal under applicable law.
- Infringes any copyright, trademark, or other intellectual property right.
- Contains nudity, sexually explicit material, or pornography.
- Is hateful, threatening, harassing, or discriminatory.
- Depicts violence, gore, or graphic harm.
- Is deceptive, fraudulent, or misleading.
- Contains malware, viruses, or other harmful code.
- Violates the privacy of others (e.g., doxxing).
4.3 Content Removal
We reserve the right to remove any User Content that violates these Terms, in our sole discretion, without prior notice. Repeated violations may result in account termination.
5. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to gain unauthorized access to any portion of the Service or related systems.
- Scrape, crawl, or data-mine the Service without our express written permission.
- Impersonate any person or entity.
- Harass, bully, intimidate, or threaten other users.
- Spam other users with unsolicited messages.
- Attempt to circumvent, disable, or interfere with security features of the Service.
- Use automated tools (bots, scripts) to interact with the Service without prior written consent.
6. Subscriptions and Payments
6.1 Free and Pro Tiers
The Service is offered on both a free tier and a paid "Pro" tier. Pro features are accessible only to active Pro subscribers.
6.2 Billing
Pro subscriptions are billed on a monthly or annual basis, as selected at checkout. Payment is processed by Stripe (web) or RevenueCat (mobile). All fees are stated in USD and are non-refundable except as required by law or as otherwise described in our refund policy.
6.3 Cancellation
You may cancel your Pro subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain Pro access until then.
6.4 Price Changes
We may change subscription prices with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
6.5 Preset Marketplace
Photographers may sell Lightroom presets through the built-in marketplace. Sellers are responsible for the quality and legality of their presets. We charge a platform fee on each sale, as disclosed during onboarding. Preset sales are final unless a defect in the preset file is demonstrated.
7. Intellectual Property
All content and materials available through the Service, excluding User Content, including but not limited to the Darkroom Collective name, logo, software, design, text, graphics, and interface elements, are owned by or licensed to Darkroom Collective and are protected by applicable intellectual property laws.
You may not reproduce, modify, distribute, or create derivative works from any of our proprietary content without our express written permission.
8. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.
9. Third-Party Services
The Service integrates with third-party services including Google (authentication), Stripe, RevenueCat, Cloudflare, and PostHog. Your use of these services is subject to their own terms and privacy policies. We are not responsible for the practices of any third-party service.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content available through the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DARKROOM COLLECTIVE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Darkroom Collective from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the United States, without regard to conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property infringement.
Class Action Waiver: You agree to resolve any disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive.
You may delete your account at any time through your account settings. Account deletion will result in permanent removal of your profile and associated data, subject to our data retention policy.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by sending an email to the address on your account at least 30 days before the new Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Darkroom Collective regarding the Service and supersede all prior agreements and understandings.
